Terms of Service

1. Agreement

By accessing or using RightsHub(the "Service"), provided by RightsHub Ltd("we", "us"), you agree to these Terms. If you're using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. In these Terms, "you" means you and your organisation. The Service is intended for business and organisational use.

Where your organisation has signed a separate written subscription agreement with us, that agreement governs the commercial relationship — the subscription term, the fees, renewal, termination and our liability. These Terms apply alongside it, and if anything here conflicts with the signed agreement, the signed agreement prevails.

2. The Service

RightsHubis a cloud-based tool that helps clubs track sponsorship assets, deliveries, reporting, and related workflows. We add, change, and remove features over time. We aim to avoid disruption but don't guarantee uninterrupted or error-free operation.

3. Accounts

You're responsible for keeping your login credentials secure and for activity under your account. Tell us promptly if you suspect unauthorised access. You must be at least 18 years old, or the age of majority where you live, to use the Service.

4. Subscription and payment

Subscriptions are arranged directly with us and invoiced — there is no self-serve checkout, and we do not collect or store card details. Fees, the subscription term and the invoicing schedule are those set out in your signed subscription agreement. Unless that agreement says otherwise, invoices are payable within 30 days of the invoice date by bank transfer, and we may suspend access where an invoice remains unpaid after reasonable written notice of the overdue amount.

Refunds are as provided for in your signed subscription agreement; otherwise fees are non-refundable except where required by law.

5. Acceptable use

You agree not to:

  • Attempt to gain unauthorised access to the Service or other accounts.
  • Interfere with other customers' use of the Service.
  • Distribute malware or use the Service to send spam.
  • Reverse engineer, scrape, or resell the Service without permission.
  • Use the Service in violation of any law or third-party rights.

We may suspend or terminate access for material breaches, with notice where reasonable.

6. Your data and data protection

You keep all rights to data you submit ("Your Data"). You grant us a limited licence to host, process, and display Your Data as needed to run the Service. You're responsible for ensuring you have the right to share any data you upload, including sponsor and member information.

Where Your Data includes personal data that we process on your behalf (such as sponsor and member information), we act as a processor and you act as the controller. That processing is governed by our Data Processing Agreement, which is incorporated into and forms part of these Terms. By accepting these Terms you also accept the Data Processing Agreement. Personal data for which we are the controller (such as your account and usage data) is handled as described in our Privacy Policy.

We may use anonymised and aggregated data derived from use of the Service to operate and improve it and to produce industry benchmarks, provided that data cannot reasonably be identified as relating to you, your sponsors or any individual.

6.1 AI-assisted rights extraction

RightsHub uses automated and AI-assisted processes to extract rights, obligations and other information from agreements uploaded to the Service. While we take reasonable steps to support accurate extraction, the resulting information may contain errors or omissions. You are responsible for reviewing and verifying the extracted information against the relevant agreement before relying on it or using it for any commercial or operational purpose. By completing the rights review process in the Service, you confirm that you have checked the extracted rights and are satisfied that they are complete and correct.

7. Our intellectual property

RightsHub, including its software, design, and branding, belongs to us. These Terms don't grant you any rights to our IP beyond using the Service. Feedback you send us may be used freely without obligation.

8. Termination

Where you have a signed subscription agreement, that agreement sets out how and when either of us may end it, including the notice required. Otherwise, either of us may terminate on reasonable written notice. We may also suspend or terminate access if you materially breach these Terms or fail to pay. On termination or expiry, you may request an export of your data in a commonly usable electronic format; we will provide it within 30 days of the request and then securely delete your remaining data within 30 days, or within 30 days of termination where no export is requested, subject to any legal or regulatory requirement to retain it. Personal data within Your Data is returned or deleted in accordance with the Data Processing Agreement, and handle other data as described in the Privacy Policy.

9. Disclaimer

The Service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim all implied warranties where allowed, including fitness for a particular purpose and non-infringement.

10. Liability

To the maximum extent permitted by law, we're not liable for indirect, incidental, or consequential losses, or for loss of profit, revenue, business, goodwill or anticipated savings. Our total liability for any claim is the cap set out in your signed subscription agreement; where there is no signed agreement, it is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that can't be limited by law (including liability for death or personal injury caused by negligence, or for fraud).

11. Changes to these Terms

We may update these Terms from time to time. For material changes, we'll notify you by email or in the app at least 30 days before they take effect. Continued use after that means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales. Disputes will be handled by the courts of England and Wales, except where local law gives you the right to bring proceedings elsewhere.
